Abstract
This paper describes the results of a business administration study on what type of corporate governance structure is appropriate for the sustainable development of small and medium-sized companies in Japan. Three research methods were employed: historical research based on endogenous theory, examination of the contents of the current system, and organization of empirical knowledge gained from the author's practical experience. The research findings were that the "KANSEI" of owner-managers is essential to the governance of small and medium-sized companies, and that the current corporate governance code for large corporations needs to be screened considerably to build this governance. Based on the results of this study, we try to draft a "Corporate Governance Code for small and medium-sized companies," suggesting that its proper introduction and implementation will lead to increased corporate value.
